DIRECTOR'S SHARE DEALINGS

In May 2014, Grindrod Limited raised equity capital by means of an
accelerated bookbuild. Following a voluntary Clawback Offer from
Grindrod's two major shareholders, namely Remgro Limited through its
wholly-owned subsidiary Industrial Partnership Investments Proprietary
Limited and Grindrod Investments Proprietary Limited, Mr SDM Zungu,
took up the 228 shares allocated for his 4 000 holding in Grindrod
shares in terms of the Clawback Offer. The purchase took place on
2 June 2014 prior to Grindrod Limited's closed period which commenced
1 July 2014.

In accordance with the requirements of paragraph 3.63 to 3.74 of the
JSE Listings Requirements the following should be noted:
